EEII and Haute Capital Partners Weigh Strategic Asset Swap

Haute Capital Partners and EEII have signed a non-binding letter of intent to explore a potential asset transfer, signaling a possible reshuffling of their portfolios. The proposal involves Haute Capital moving its stakes into the investment firm in exchange for new shares, potentially combined with a cash capital increase.

The firms are currently evaluating whether to structure the deal as a direct asset purchase or an economically equivalent arrangement. Under the preliminary plan, Haute Capital intends to distribute the resulting EEII shares to its existing shareholders. This maneuver requires formal sign-off from Haute Capital’s general meeting and other regulatory bodies, as the current framework remains strictly provisional.

Negotiations remain in the early stages, with valuations, total scope, and final terms still under discussion. Both companies, listed on the BX Swiss and SIX Swiss Exchange respectively, have cautioned that no definitive agreement exists. They intend to provide further updates only if the talks yield material progress, leaving the final outcome of the consolidation uncertain.
