The company faces a ticking clock on its ambitions. If the acquisition fails to close by the end of September, Paramount faces daily penalties of $7 million. These mounting costs, characterized by the company as unrecoverable 'ticking fees,' could balloon to $1.3 billion by the time the court reaches a final decision. The legal landscape is further complicated by the expiration of U.S. Justice Department approval on February 19, leaving little room for the current judicial timeline which extends into April.
California and eleven other states initiated the legal standoff in July, citing concerns over market monopolization and the potential for increased consumer prices. Paramount maintains that this consolidation is a vital step to challenge the market dominance of Netflix and Disney. By forcing the states to post a bond, the studio aims to mitigate the heavy financial risk of a delay while attempting to push the merger across the finish line before regulatory and contractual deadlines expire.
