FCC Clears Foreign Stake in Paramount and Warner Bros Merger

The Federal Communications Commission has greenlit the $110 billion merger between Paramount and Warner Bros Discovery, a move that bypasses standard foreign ownership caps. While the decision permits international backers to hold significant equity, the commission strictly prohibits these investors from exercising voting power or influencing media content.

Under the new ruling, the FCC waived the traditional 25% limit on foreign capital, allowing individual international investors to control up to 20% of the company's equity. To mitigate national security concerns, these stakeholders remain barred from accessing non-public data on U.S. citizens and hold no sway over editorial decisions.

Despite this regulatory clearance, the path to consolidation remains obstructed. A U.S. judge has issued a temporary injunction halting the transaction until a March trial resolves legal challenges brought by several states. Should the merger proceed, Larry Ellison’s investment group is positioned to maintain the largest portion of both voting shares and total equity.
